Roll2Heal Chapter Agreement

Affiliation and Compliance with Roll2Heal Bylaws

 Introduction


This Chapter Agreement (“Agreement”) is entered into by and between Roll2Heal, a non-profit organization (“Organization”), and the undersigned Chapter (“Chapter”), which seeks to operate under the Roll2Heal name and mission. The purpose of this Agreement is to ensure that all Chapters using the Roll2Heal name adhere strictly to the Organization’s bylaws and guidelines, as well as any updates thereto, to maintain consistency, integrity, and legal compliance across all affiliated Chapters.


By signing this Agreement, the Chapter acknowledges its commitment to comply with the terms outlined below.


1. Adherence to Roll2Heal Bylaws


The Chapter agrees to operate in full compliance with the Roll2Heal bylaws (“Bylaws”), as provided by the Organization, and any amendments or updates to the Bylaws that may be adopted from time to time. Specifically:


  • Access to Bylaws: The Organization will provide the Chapter with a current copy of the Bylaws upon execution of this Agreement and will notify the Chapter of any updates or amendments in a timely manner.

  • Ongoing Compliance: The Chapter shall ensure that all its activities, operations, and representations align with the Bylaws, including but not limited to the Organizations mission, values, operational guidelines, and member conduct standards.

  • Updates to Bylaws: The Chapter acknowledges that the Bylaws may be updated by the Organization at its discretion. The Chapter agrees to implement and adhere to any such updates within a reasonable timeframe, as specified by the Organization, typically within thirty (30) days of notification.


2. Consequences of Deviation from Bylaws


Any deviation from the Roll2Heal Bylaws, whether intentional or unintentional, may result in the termination of the Chapters affiliation with Roll2Heal. Specifically:


  • Non-Compliance Review: If the Organization determines that the Chapter has deviated from the Bylaws, it will notify the Chapter in writing, outlining the specific violations and providing an opportunity to remedy the deviation within a specified period, typically thirty (30) days.

  • Termination of Affiliation: Failure to remedy the deviation or repeated non-compliance will result in the immediate termination of the Chapters right to use 1 the Roll2Heal name, logo, or any associated branding, and the Chapter will no longer be recognized as an affiliated entity of Roll2Heal.

  • Cessation of Representation: Upon termination of affiliation, the Chapter must cease all use of the Roll2Heal name, branding, and materials and refrain from representing itself as affiliated with the Organization.


3. Use of Roll2Heal Name and Branding


The Chapter is granted a limited, non-exclusive, revocable license to use the Roll2Heal name, logo, and associated branding solely for the purpose of conducting activities in accordance with the Bylaws and this Agreement. The Chapter agrees:


  • To use the Roll2Heal name and branding only in a manner that upholds the Organizations mission, reputation, and values.

  • To obtain prior written approval from the Organization for any public materials, events, or campaigns that prominently feature the Roll2Heal name or branding.

  • That unauthorized or improper use of the Roll2Heal name or branding may result in immediate termination of affiliation, as outlined in Section 2.

4. Chapter Responsibilities 


The Chapter agrees to:


  • Designate a responsible individual (“Chapter Representative”) to serve as the primary point of contact with the Organization and ensure compliance with the By-laws.

  • Maintain accurate records of its activities, membership, and events, and provide such information to the Organization upon request for purposes of oversight and compliance.

  • Conduct all activities in a manner that is consistent with the Organizations non-profit mission to support veterans and first responders through tabletop role-playing game sessions.

  • Promptly report to the Organization any incidents, complaints, or issues that may impact the reputation or operations of Roll2Heal


5. Legal Compliance and Liability


The Chapter acknowledges that it is responsible for its own legal and operational compliance, including but not limited to local, state, and federal laws. The Chapter agrees:


  • To indemnify and hold harmless Roll2Heal, its officers, directors, and affiliates from any claims, damages, or liabilities arising from the Chapters activities, operations, or non-compliance with this Agreement or the Bylaws.

  • ThatRoll2Healis not liable for any actions, omissions, or obligations of the Chapter, including those related to member conduct, financial management, or legal disputes.


6. Termination of Agreement


This Agreement may be terminated by either party as follows:


  • By the Organization: Roll2Heal may terminate this Agreement immediately upon written notice to the Chapter for non-compliance with the Bylaws or this Agreement, as outlined in Section 2, or for any other reason at the Organizations discretion with thirty (30) days written notice.

  • By the Chapter: The Chapter may terminate this Agreement with sixty (60) days written notice to the Organization, provided that all obligations under this Agreement, including cessation of use of the Roll2Heal name and branding, are fulfilled.

  • Effect of Termination: Upon termination, the Chapter must immediately cease all use of the Roll2Heal name, logo, and branding and refrain from representing itself as affiliated with the Organization.


7. Acknowledgment and Signature


By signing below, the Chapter, through its authorized representative, acknowledges that it has read, understood, and agrees to be bound by the terms of this Agreement. The Chapter further acknowledges its obligation to adhere to the Roll2Heal Bylaws and any updates thereto, and that deviation from the Bylaws may result in termination of affiliation.

Roll2Heal Non-Disclosure Agreement

Protection of Confidential Business Information

Introduction


This Non-Disclosure Agreement (“Agreement”) is entered into by and between Roll2Heal, a nonprofit organization (“Organization”), and the undersigned individual (“Recipient”), who is an officer, member, or volunteer of Roll2Heal. The purpose of this Agreement is to protect the confidentiality of Roll2Heals proprietary and sensitive business information, including specific business practices and documents, shared with or accessed by the Recipient in connection with their role.


By signing this Agreement, the Recipient acknowledges their obligation to maintain the confidentiality of the Organizations confidential information as outlined below.


1. Definition of Confidential Information


For the purposes of this Agreement, “Confidential Information” includes, but is not limited to, the following types of information, whether in written, electronic, oral, or other form, that is disclosed to or accessed by the Recipient in connection with their role at Roll2Heal:

  • Business practices, strategies, and operational procedures specific to Roll2Heals nonprofit activities, including but not limited to event planning, fundraising methods, member engagement strategies, and chapter management protocols.

  • Internal documents, such as bylaws, financial records, budgets, grant applications, donor lists, and strategic plans.

  • Member and participant data, including personal information, contact details, and participation records, subject to applicable privacy laws.

  • Any other proprietary information, trade secrets, or materials marked as confidential or reasonably understood to be confidential based on the context of disclosure.


Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the Recipient.

  • Was lawfully in the Recipients possession prior to disclosure by Roll2Heal, as evidenced by written records.

  • Is independently developed by the Recipient without use of or reference to the Organizations Confidential Information.

  • Is required to be disclosed by law, provided the Recipient notifies Roll2Heal in advance and takes reasonable steps to limit disclosure.


2. Obligations of Confidentiality


The Recipient agrees to:

  • Maintain the confidentiality of all Confidential Information and not disclose, share, or distribute it to any third party without prior written consent from Roll2Heal, except as necessary to perform their duties for the Organization.

  • Use Confidential Information solely for the purpose of fulfilling their role or responsibilities within Roll2Heal and not for personal gain or any other unauthorized purpose.

  • Take reasonable precautions to protect Confidential Information from unauthorized access, use, or disclosure, including securing physical and electronic documents and using password-protected systems where applicable.

  • Notify Roll2Heal immediately in writing of any actual or suspected unauthorized disclosure or loss of Confidential Information. 3. Duration of Confidentiality Obligation The Recipients obligation to maintain the confidentiality of Confidential Information shall continue:

  • During the Recipients tenure as an officer, member, or volunteer of Roll2Heal.

  • Indefinitely after the termination of the Recipients relationship with Roll2Heal, unless the Confidential Information becomes publicly available through no fault of the Recipient or is otherwise released from confidentiality obligations by Roll2Heal in writing.

4. Return or Destruction of Confidential Information


Upon termination of the Recipients role with Roll2Heal or at the Organizations request, the Recipient agrees to:

  • Promptly return all physical and electronic copies of Confidential Information, including documents, files, and records, to Roll2Heal.

  • Destroy or delete any Confidential Information in their possession that cannot be returned, such as digital files on personal devices, and provide written confirmation of such destruction to Roll2Heal upon request.

  • Refrain from retaining any copies, excerpts, or reproductions of Confidential Information unless expressly authorized by Roll2Heal


5. Remedies for Breach


The Recipient acknowledges that unauthorized disclosure or use of Confidential Information may cause irreparable harm to Roll2Heal. In the event of a breach or threatened breach of this Agreement, Roll2Heal shall be entitled to:

  • Seek injunctive relief to prevent further disclosure or use of Confidential Information.

  • Pursue monetary damages and any other legal remedies available under applicable law. The Recipient agrees to indemnify and hold harmless Roll2Heal from any losses, damages, or expenses, including reasonable attorney's fees, arising from the Recipients breach of this Agreement


6. No Transfer of Ownership


This Agreement does not grant the Recipient any ownership, license, or rights to the Confidential Information, except as necessary to perform their duties for Roll2Heal. All Confidential Information remains the exclusive property of Roll2Heal


7. Governing Law


This Agreement shall be governed by and construed in accordance with the laws of the state in which Roll2Heal is incorporated, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of that state


8. Termination of Agreement


This Agreement shall remain in effect until terminated by mutual written consent of both parties or until the Recipients obligations are fulfilled, as outlined in Section 3. Termination does not relieve the Recipient of their confidentiality obligations with respect to Confidential Information disclosed prior to termination


9. Acknowledgment and Signature


By signing below, the Recipient acknowledges that they have read, understood, and agree to be bound by the terms of this Non-Disclosure Agreement. The Recipient further acknowledges their responsibility to protect Roll2Heals Confidential Information and the potential consequences of failing to do so
